1. Introduction

This Refund & Cancellation Policy (the “Policy”) applies to subscriptions for the Spensit software-as-a-service (SaaS) provided by Flowscape (Legal Name: Flowscape; Trading Name: Spensit; Address: K11/2/A Hevalley Complex, 3rd Floor, Room-3, Jagganathpur, Vatara, Dhaka 1229, Bangladesh; Trade Licence No: TRADDNCC0081062025).
By purchasing a subscription at www.spensit.com you agree to this Policy. The primary contact email for general enquiries is info@spensit.com; for legal matters: legal@flowscape.xyz.

2. Scope & Definitions

  • A “Subscription” means the paid plan you select via Spensit.com, for access to the Spensit platform and services.

  • “Billing period” means the period for which you have paid (e.g., one month, one year) when you subscribe.

  • “Original method of payment” means the same payment instrument you used when you paid us (credit card, bank transfer, etc.).

  • “Business day(s)” means a day other than a Saturday, Sunday or public holiday in Bangladesh.

  • “Service activation” means when your Spensit account is successfully activated and you have access to the paid features (within 24 hours of payment).

  • “Unused services” means you have not logged-in/used any feature of the paid subscription (or otherwise consumed the service during the paid billing period).

  • This Policy governs refunds (money returned) and cancellations (termination of subscription). It does not cover disputes about service quality, support response times or feature availability (which will be handled under separate Support / SLA terms).

3. Service Delivery & Activation

  • Once you pay for a Subscription, we aim to activate your Spensit account and provide access to the services within 24 hours of payment receipt.

  • From the moment your account is activated and you start accessing the service, you are considered to have received the service for that billing period (even if you do not actively use every feature).

  • After activation, the Subscription term begins for the full paid period, unless you cancel in accordance with Section 4.

4. Cancellation

  • You may cancel your Subscription at any time from your account management dashboard on Spensit.com.

  • Upon cancellation:

    • The subscription will cease at the end of the current billing period (i.e., you will continue to have access until the end of the paid period).

    • No further charges will be incurred (for automatic renewals) after the cancellation taking effect.

    • Cancellation does not automatically entitle you to a refund (see Section 5 for refund eligibility).

  • If you do not cancel before the renewal date, the Subscription will renew automatically for the next billing period under the terms then in force.

5. Refund Eligibility & Conditions

5.1 Eligibility

You are eligible to request a full refund of the paid subscription amount (returned to your original method of payment) only if all of the following conditions are met:

  1. You request the refund within the first 30 days of the start of the billing period.

  2. Your Subscription has been activated but you have not used any paid service features during that billing period (i.e., you have not logged-in and accessed any paid functionality, created any transactions, or otherwise consumed the service).

  3. The account is in good standing (no outstanding payment or breach of Terms).

  4. The payment was made for a standard subscription plan (not for add-on services, consulting, setup fees, or customised enterprise solutions).

5.2 Non-Eligibility

Refunds will not be granted if any of the following apply:

  • You have used any part of the platform or accessed any paid feature during the billing period.

  • More than 30 days have elapsed since the start of the billing period.

  • The Subscription was for a customised enterprise or consultancy service (unless explicitly agreed).

  • You are requesting a prorated refund for the unused portion of the period (we do not grant partial refunds mid-term unless under extraordinary circumstances and at our sole discretion).

  • The refund request arises solely because you no longer need the service or your circumstances changed (unless you meet the unused-service condition above).

  • There is a service fee, configuration or onboarding cost that was clearly disclosed as non-refundable at the time of purchase.

5.3 Refund Process and Timing

  • To request a refund, please ensure your Subscription is cancelled (see Section 4) and then contact support@spensit.com with your account details and reason for refund.

  • Once your request is approved, we will process the refund within 7 business days to your original method of payment.

  • The time it takes for your bank or card issuer to credit your account may vary.

  • We reserve the right to deduct any valid charges incurred (for example, taxes, bank fees) if applicable and disclosed at time of purchase.

6. Automatic Renewals & Renewed Subscriptions

  • Unless you cancel before renewal, your Subscription plan will automatically renew for the next billing period at the then-current rate.

  • Renewals are subject to this Policy: once the renewal payment is made and the service is activated, refund eligibility is governed by Section 5 (i.e., you may only request a refund if you meet the unused-service condition within 30 days of renewal).

  • If we change the terms or pricing of your Subscription, we will notify you in advance; you may cancel before the next renewal if you do not accept the new terms.

7. Modifications, Downgrades & Expiry

  • If you downgrade your plan, the downgrade will take effect at the next renewal date (you will continue on your current plan until the end of the billing period).

  • No refund or credit will be given for the unused time on the higher-level plan during the current period.

  • We may suspend or terminate your account if you breach the Terms of Service; in such case, no refund will be issued unless required by law.

8. Service Interruptions & Support

  • In the event of service interruption or a defect, you should contact our support team at support@spensit.com. We will attempt to remedy the issue as soon as possible.

  • Our refund policy is not a substitute for service level commitments; if usage has occurred you are not eligible for a refund simply because you experienced downtime.

  • We may, at our discretion, issue service credits (rather than refunds) for verified prolonged outage events.

9. Taxes, Fees & Payment Methods

  • Refunds are issued to the original payment method only.

  • Any taxes or fees charged by banks, payment gateways or by local regulation may not be refunded if those charges are non-refundable to us.

  • If you received a special promotional discount, the refund amount will reflect the actual amount paid (i.e., discounted amount).

10. Legal & Jurisdiction

  • This Policy is governed by the laws of Bangladesh.

  • Any dispute arising under or in connection with this Policy shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

  • If any provision of this Policy is found invalid or unenforceable, the remaining provisions will continue in full force.

11. Changes to This Policy

  • We may modify this Policy at any time, by posting a new version on www.spensit.com.

  • The “Last Updated” date will reflect the most recent revision.

  • Changes will apply to new subscriptions and renewals; current customers will be subject to the version in force at their renewal unless we notify otherwise.

12. Summary for Users

  • You pay for a monthly or annual subscription.

  • Service is activated within 24 hours of payment.

  • You may cancel at any time; access remains until the end of the paid period.

  • Refunds are only possible if you haven’t used any service during the paid period and you request within 30 days.

  • Refund will go back to your original payment method within 7 business days.
